IPO Showcase Investor Portal Privacy Notice

This Investor Portal Privacy Notice (the “Portal Notice”) explains how information is collected, used, and shared when you submit information through an issuer’s investor subscription portal that is powered by IPO Showcase (the “Portal”).
1) Who We Are and Our Role
IPO Showcase provides technology infrastructure that enables investors to submit information to an issuer (the “Issuer”) in connection with a potential investment.
IPO Showcase is not the Issuer and does not make investment decisions.
IPO Showcase is not a broker-dealer or investment adviser, and does not provide investment advice.
The Issuer is responsible for the offering, eligibility determinations, subscription acceptance/rejection, and providing payment instructions.
If you have questions about the offering itself, please contact the Issuer using the contact information provided in the Portal.
2) Information Collected Through the Portal
Depending on the Issuer’s offering and the Portal workflow, the Portal may collect:
A) Identity and contact information
Name, email address, phone number
Residential or business address
Entity information (if investing through an entity), such as entity name and authorized signer details
B) Investment and eligibility information
Intended investment amount, number of shares/units, and related selections
Investor status attestations and acknowledgments (e.g., eligibility limitations where applicable)
C) Tax and compliance information (where applicable)
Taxpayer name and certification details
Tax identification numbers (e.g., SSN or EIN), or confirmation that a substitute form (such as W-8 series documentation) will be provided, depending on circumstances
D) Documents and e-sign acknowledgments
Acknowledgments of receipt/review of offering materials
Electronic signature or consent confirmations (where enabled)
E) Technical and usage data
IP address, device identifiers, browser type, and access logs
Time stamps and actions taken in the Portal (audit logs)
3) How Information Is Used
Information collected through the Portal may be used to:
Submit your information to the Issuer for review in connection with the offering
Support the Issuer’s subscription processing, recordkeeping, and compliance (including tax reporting obligations)
Provide Portal functionality, maintain audit logs, and improve reliability and security
Detect, prevent, and respond to fraud, abuse, and security incidents
Comply with applicable laws and enforce applicable terms
Marketing, audience segmentation, and profiling
If you opt in to receive updates, offerings, or investor communications from IPO Showcase (for example, by checking a marketing box in the Portal or on an IPO Showcase landing page), we may also:
Use your contact and interaction information to create audience segments and profiles (“profiling”) that help us understand interests (e.g., types of opportunities viewed, general engagement patterns) and tailor future campaigns.
We do not use sensitive identifiers (such as SSN/EIN) for marketing profiling and do not disclose SSN/EIN to advertising partners.
You can opt out of marketing at any time as described in Section 8.
4) Payment Handling
IPO Showcase does not collect or process investor funds through the Portal. After the Issuer reviews and accepts a subscription (if accepted), the Issuer will provide payment instructions either (a) by sending a secure payment link to the investor, or (b) by presenting an Issuer-designated payment page or payment module within the Portal workflow.
If a payment page or embedded payment module is used:
Any payment would be made directly to the Issuer (or the Issuer’s designated payment processor).
IPO Showcase would not be the merchant of record and would not receive, hold, or transmit investor funds.
Payment details (such as card or bank information) would be collected and processed by the Issuer and/or its payment processor under their terms and privacy notices.
If you receive any message requesting payment that does not come from the Issuer or the Issuer’s designated payment processor, do not send funds and notify the Issuer.
5) How Information Is Shared
A) With the Issuer
Information submitted through the Portal is shared with the Issuer for the purpose of evaluating and processing your subscription.
B) With the Issuer’s service providers
At the Issuer’s direction, information may be shared with the Issuer’s vendors who support the offering (e.g., transfer agent, administrators, legal/compliance service providers, identity verification or fraud prevention vendors).
C) With IPO Showcase service providers
IPO Showcase may share information with vendors that help operate and secure the Portal (e.g., hosting, security monitoring). These vendors are permitted to use information only to provide services to IPO Showcase.
D) Advertising/measurement partners (marketing opt-in only)
If you opt in to receive IPO Showcase marketing and we run campaigns that use tracking pixels or similar tools outside the Portal (for example, on landing pages), limited information (such as device identifiers and usage data) may be shared with analytics/measurement partners to understand campaign performance. The Portal itself is typically limited to essential cookies for security and session management unless otherwise disclosed.
E) Legal and safety
We may disclose information if required by law or if we believe disclosure is necessary to comply with legal process, protect rights and safety, or investigate fraud/security incidents.
F) Business transfers
If IPO Showcase is involved in a merger, acquisition, financing, reorganization, bankruptcy, or sale of assets, information may be transferred as part of that transaction.
6) Data Security
We use reasonable administrative, technical, and physical safeguards designed to protect Portal information. No system can be guaranteed 100% secure.
Sensitive information: If the Portal collects sensitive identifiers (such as SSN/EIN), submit such information only through secure Portal pages and on trusted networks.
7) Data Retention
IPO Showcase retains Portal information for as long as reasonably necessary to provide the Portal, maintain audit logs, comply with legal obligations, resolve disputes, and enforce agreements. The Issuer may retain your information separately under its own retention policies.
8) Your Choices and Rights
Marketing choices
Email: You can unsubscribe at any time using the link in marketing emails.
SMS/Text (if offered): You can opt out by replying STOP. Message and data rates may apply.
Privacy rights
Depending on where you live, you may have rights to access, correct, delete, or obtain information about certain processing.
Because Portal submissions are made for the Issuer’s offering, many requests are best directed to the Issuer, which determines how long it retains subscription records and what it is required to keep.
You may also contact IPO Showcase using the information below, and we will coordinate as appropriate.
9) Cookies and Tracking in the Portal
The Portal may use essential cookies or similar technologies required for security, session management, and fraud prevention. Marketing cookies are typically not used within the Portal unless explicitly disclosed.
10) Children’s Privacy
The Portal is not intended for children under 13, and we do not knowingly collect personal information from children through the Portal.
11) International Users
If you access the Portal from outside the United States, your information may be processed in the United States and other jurisdictions where IPO Showcase or its service providers operate.
12) Changes to This Portal Notice
We may update this Portal Notice from time to time. The “Effective Date” at the top indicates when it was last updated.
